Terms & Conditions

Last updated: 18 May 2026. These Terms of Service ("Terms") govern your use of dcrayons.app and any service Dcrayons Consultancy Private Limited (India) or Dcrayons Inc (USA) provides. By using the site or engaging our services, you agree to these Terms. If you do not agree, please do not use the site.

1. Definitions

  • "Dcrayons", "we", "our", "us" means Dcrayons Consultancy Private Limited and its affiliates.
  • "Site" means dcrayons.app and any subdomain or successor URL.
  • "Services" means the consulting, marketing, development, design, and ancillary services we provide under a Statement of Work (SoW) or Master Services Agreement (MSA).
  • "You", "client" means the individual or entity using the Site or engaging the Services.

2. Relationship with signed agreements

Service-specific terms (scope, fees, timelines, payment schedule, IP ownership, confidentiality, change-control, termination, warranties, indemnity caps) are defined in the Statement of Work or Master Services Agreement we sign with you. Those signed documents take precedence over these Terms for any conflict. These Terms cover the general use of dcrayons.app and anything not specifically agreed in a SoW or MSA.

3. Eligibility

You must be at least 18 years old and have legal authority to enter contracts on behalf of any organisation you represent. By using the Site you confirm you meet these conditions.

4. Acceptable use

You agree NOT to:

  • Use the Site or Services for any unlawful purpose, or in a way that violates any applicable law including the Indian IT Act 2000 and Information Technology Rules 2021.
  • Attempt to disrupt, probe, scan, or compromise the Site, our infrastructure, or other users (including DoS attempts, port scans, fuzzing, or vulnerability scanning without prior written consent).
  • Scrape, copy, mirror, or reverse-engineer proprietary content without our written consent. Public reading and personal-use linking are fine.
  • Impersonate any person or entity, or misrepresent your affiliation with Dcrayons.
  • Upload or transmit malicious code, illegal material, or content that infringes third-party intellectual property or privacy.
  • Use the Site to send unsolicited bulk messages or to harvest contact information.

We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you are violating these Terms.

5. Intellectual property

All content on dcrayons.app -- text, graphics, logos, code, designs, photographs, audio, video, and the structure and presentation of the Site -- is owned by Dcrayons or its licensors and is protected by Indian and international copyright, trademark, and other IP laws.

You may view, download, and print Site content for personal, non-commercial reference only. Any other use (republication, redistribution, training of AI / ML models on our content, derivative works) requires our prior written consent.

Deliverables produced under a SoW are governed by the IP clause in that SoW. Unless the SoW says otherwise, our default position is that client-paid deliverables transfer to the client on full payment, and Dcrayons retains the right to showcase the work as a portfolio reference (logo + screenshots + outcome metrics) unless the SoW restricts this.

6. Third-party content and links

The Site may link to third-party websites, embed third-party content, or reference third-party tools. We do not control those resources and are not responsible for their content, accuracy, privacy practices, or availability. A link is not an endorsement.

7. User submissions

If you submit a contact form, pricing request, comment, testimonial, or any other content to the Site, you grant Dcrayons a non-exclusive, worldwide, royalty-free licence to use that submission to respond to your enquiry, deliver the Services, improve our offering, and where you have agreed, to feature in case studies or marketing. You confirm that the submission is yours to provide and does not infringe any third-party right.

8. Disclaimer of warranties

The Site and any free content on it are provided "as is" and "as available" without warranty of any kind, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Site will be uninterrupted, secure, or error-free. We do not guarantee specific business outcomes from any marketing strategy, framework, case study, or playbook described on the Site. Past client results do not guarantee similar results for your business.

Warranties on paid Services are limited to those expressly stated in the SoW or MSA you signed with us.

9. Limitation of liability

To the maximum extent permitted by law, Dcrayons, its directors, employees, agents, and licensors are NOT liable for any:

  • indirect, incidental, consequential, special, punitive, or exemplary damages;
  • loss of revenue, profits, business, goodwill, data, anticipated savings, or opportunity, even if we were advised of the possibility;
  • damages arising from your use of, or inability to use, the Site or any third-party content linked from it.

Our total aggregate liability for any claim arising under or in connection with these Terms is capped at the fees you paid us in the 12 months preceding the event giving rise to the claim. For Site-only interactions where you have not paid us anything, the cap is INR 5,000.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited (e.g. fraud, gross negligence, or statutory rights that override contract).

10. Indemnity

You agree to indemnify and hold harmless Dcrayons from any third-party claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Site, or content you submit to us.

11. Termination of Site access

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason or no reason. Sections 5 (IP), 8 (disclaimer), 9 (liability), 10 (indemnity), 13 (governing law), and 14 (general) survive termination.

12. Force majeure

Neither party is liable for any delay or failure to perform caused by an event beyond reasonable control: natural disasters, war, terrorism, riots, government action, internet or power outages, pandemics, labour disputes, supplier failures, or comparable events.

13. Governing law and jurisdiction

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Any dispute arising from or in connection with these Terms, the Site, or our Services is subject to the exclusive jurisdiction of the courts at Jaipur, Rajasthan, India. The parties may agree in writing to refer a dispute to arbitration under the Arbitration and Conciliation Act 1996, seat at Jaipur, in English, before a sole arbitrator mutually appointed.

14. General

  • Entire agreement: these Terms (plus any signed SoW / MSA) are the entire agreement between you and Dcrayons regarding the Site and Services and supersede any prior oral or written understanding.
  • Severability: if any provision is held invalid or unenforceable, the rest remain in full force.
  • No waiver: our failure to enforce any right is not a waiver of that right.
  • Assignment: you may not assign these Terms without our written consent. We may assign in the context of a corporate transaction.
  • Notices: notices to us must be in writing to info@dcrayons.app. Notices to you go to the email address you most recently provided.
  • Updates: we may update these Terms; the "Last updated" date at the top reflects the most recent revision. Continued use of the Site after a change constitutes acceptance.
